These Terms of Use ("Terms") govern your access to and use of the Lumberama website, mobile experiences, tools, services, and marketplace platform (collectively, the "Platform"). The Platform is operated by Lumberama ("Lumberama," "we," "our," or "us").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Platform immediately.

1. About Lumberama

Lumberama is a marketplace platform designed to connect customers, contractors, vendors, and other building professionals. Lumberama does not sell building materials, does not provide contractor services, and is not a party to agreements or transactions between users of the Platform.

All vendors and contractors listed on the Platform are independent third parties who operate their own businesses and are solely responsible for the products or services they offer.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Have the legal capacity to enter binding agreements
• Use the Platform only for lawful purposes

If you are using the Platform on behalf of a business, you represent and warrant that you are authorized to bind that business to these Terms.

3. Platform Role and Disclaimers

3.1 Marketplace Only

Lumberama provides a platform for:

• Customers to discover products and request quotes
• Vendors to promote and offer building materials
• Contractors to list their services and receive inquiries

Lumberama does not:

• Endorse, vet, certify, or guarantee any vendor or contractor
• Provide contractor services, installation, or construction
• Manufacture, stock, package, or ship products
• Set or control pricing, service terms, or warranties
• Supervise, direct, or control vendors or contractors
• Participate in disputes between users

4. User Accounts

To access certain features, you may need to create an account. You agree to:

• Provide accurate and current information
• Maintain the security of your login credentials
• Notify us immediately of unauthorized access
• Accept responsibility for all activity under your account

Lumberama reserves the right to suspend or terminate accounts for any violation of these Terms.

5. User Content

You may submit content such as:

• Reviews
• Project details
• Photos
• Messages
• Business information

By submitting content, you grant Lumberama a non-exclusive, worldwide, royalty-free license to use, reproduce, display, store, and distribute that content to operate and promote the Platform.

You represent and warrant that:

• You own or have rights to the content
• Your content does not infringe the rights of others
• Your content is lawful, truthful, and not misleading

Lumberama may remove content at its discretion.

6. Vendors and Contractors

6.1 Independent Businesses

Vendors and contractors listed on the Platform operate independently. They are not employees, agents, representatives, or partners of Lumberama.

6.2 Vendor Responsibilities

Vendors are solely responsible for:

• Product quality, descriptions, availability, packaging, and shipping
• Pricing, payment terms, warranties, returns, and refunds
• Legal compliance with local, state, and federal laws

6.3 Contractor Responsibilities

Contractors are solely responsible for:

• Licensing, insurance, permits, and professional qualifications
• Work quality, safety, timelines, and jobsite conduct
• Pricing, estimates, contracts, and service warranties

6.4 No Guarantee

Lumberama does not:

• Guarantee outcomes, workmanship, delivery times, or product suitability
• Perform background checks
• Monitor performance or compliance

Any issues must be resolved directly between the parties involved.

7. Communications and AI-Assisted Systems

You may communicate with vendors, contractors, or support tools via:

• Email
• Chat
• Forms
• AI-assisted responses

You understand and agree that:

• Some communications may be automated or AI-generated
• Lumberama is not responsible for errors, omissions, or misunderstandings in automated responses
• Communications do not constitute legal, professional, or technical advice
• You must verify details such as pricing, availability, specifications, and timelines with the actual vendor or contractor

8. Payment Processing

Payments for:

• Materials are made directly to vendors
• Contractor services are made directly to contractors

Lumberama is not a payment intermediary and does not hold, escrow, guarantee, or manage funds for any user.

All financial disputes must be handled between the parties directly.

9. Acceptable Use Policy

You agree not to:

• Violate laws or regulations
• Misrepresent your identity or business
• Upload harmful, fraudulent, or infringing content
• Scrape, copy, or harvest data from the Platform
• Attempt to circumvent security measures
• Interfere with Platform operations

We may suspend or terminate your access for violations.

10. Intellectual Property

All Platform content, including:

• Logos
• Text
• Graphics
• Images
• Software
• Database structures

...is owned by or licensed to Lumberama and protected by intellectual property laws.

You may not copy, distribute, or create derivative works without our written permission.

11. Third-Party Links

The Platform may link to:

• Vendor websites
• Contractor websites
• Payment processors
• External resources

These third-party sites are not controlled by Lumberama. We are not responsible for their content, practices, or terms.

12. Disclaimer of Warranties

Lumberama disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness
• Workmanship or product quality by vendors or contractors
• Availability, uptime, or error-free operation

13. Limitation of Liability

To the maximum extent permitted by law, Lumberama is not liable for:

• Damages related to transactions between users
• Errors, delays, or omissions by vendors or contractors
• Personal injury, property damage, or construction-related issues
• Loss of data, profits, business, or goodwill
• Use of or inability to use the Platform
• Any indirect, incidental, special, consequential, or punitive damages

Total liability of Lumberama for any claim shall not exceed the greater of: (a) USD $100 or (b) The amount paid by you (if any) to Lumberama in the last 12 months.

14. Indemnification

You agree to indemnify and hold harmless Lumberama and its officers, employees, and affiliates from any claims, damages, or liabilities arising from:

• Your use of the Platform
• Your interactions with vendors or contractors
• Your violation of these Terms
• Your content, conduct, or negligence

15. Privacy

Your use of the Platform is subject to the Lumberama Privacy Policy.

The Privacy Policy explains how we collect, use, and protect your information, including CPRA and GDPR rights.

16. Termination

We may suspend or terminate access to the Platform at any time for:

• Violations of these Terms
• Fraudulent or harmful behavior
• Legal or operational reasons

You may stop using the Platform at any time. Certain obligations (such as indemnification and limitations of liability) will survive termination.

17. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles.

Any disputes must be resolved in courts located in Salt Lake County, Utah, unless otherwise required by law.

18. Changes to These Terms

We may update these Terms periodically. The "Effective Date" will be updated at the top of the page.

Continued use of the Platform constitutes acceptance of the revised Terms.
